These Terms of use ("Terms") govern your use of the Speechocean website at www.Speechocean.com; they do not apply to other online or offline Speechocean websites, products or services of Speechocean including, but not limited to Chinese, Korean, German or Japanese versions of the www.Speechocean.com website. BY ACCESSING OR USING THIS SITE IN ANY WAY, INCLUDING, WITHOuT LIMITATION, USE OF ANY OF THE SERVICES, DOWNLOADING OF ANY PRODUCTS, SOFTWARE OR INFORMATION, OR MERELY BROWSING THE SITE, YOU AGREE TO AND ARE BOUND BY THESE TERMS.

D. Copyrights

Speechocean is committed to protecting individuals' copyrights. Each image submitter is required by our law to own the right to or to obtain permission to use any image before the image is uploaded or printed on this Site or provided to Speechocean for any reason, including, but not limited to contests, technical support or display on the Site. Speechocean may request confirmation of the copyright ownership from the submitter. Speechocean reserves the right to not accept any images or information for any contests or other purposes until such confirmation is received. You acknowledge that any submission may be removed, published, copied, modified, transmitted or displayed by Speechocean for the purposes of delivering the offered Services. In addition, you warrant that all moral rights in any uploaded materials have been waived. Neither Speechocean nor any third party using the content in accordance with this section will be obligated to pay you any royalties or other compensation for use of the content.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, EVEN IF AN AUTHORIZED REPRESENTATIVE OF SPEECHOCEAN HAS BEEN ADVISED OR SHOULD HAVE KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY, AND THE LIABILITY OF OUR SUBSIDIARIES, EMPLOYEES, AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (B) $100. THE FOREGOING DISCLAIMERS, WAIVERS AND LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

H. Indemnification

You agree to indemnify, hold harmless and defend Speechocean, its officers, directors, employees, agents, successors, subsidiaries, sublicensees and assigns from and against any and all claims, damages, losses, costs and liabilities (including reasonable attorneys' fees and court costs) arising out of or related to any breach of this agreement by you or anyone acting under your direction, authority or control.

The content, products, prices or Services on this Site may be out of date, and Speechocean makes no commitment to update the content, products, prices or Services on this Site.

J. International use

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable content. Please note that information published on this Site may refer to products, programs or services that are not available in your country. This Site is controlled, operated, and administered by Speechocean from its offices within China. Speechocean makes no representation that this Site, or the Services, products or content available through it, are appropriate or available for use at other locations outside the united States, and access to this Site from territories where the Site or any of its Services, products or content are illegal is prohibited. If you access this Site from a location outside China, you are responsible for compliance with all local laws where you reside. K. Disputes

Any dispute relating in any way to your visit to the Site or to products you purchase through the Site shall be submitted to confidential arbitration in China or other country, to the extent you have in any manner violated or threatened to violate Speechocean's intellectual property rights, Speechocean may seek injunctive or other appropriate relief in China, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this Agreement shall be conducted under the rules then prevailing of the China Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

L. Site Policies, Modification and Severability

Please review our other policies, such as our Privacy Policy, posted on the Site. These policies also govern your visit to this Site. We reserve the right to make changes to the Site, policies, and these Terms and Conditions at any time. If any condition in this Agreement is deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition. You agree that this Agreement and all incorporated agreements may be automatically assigned by Speechocean, in its sole discretion, to a third party in the event of a merger, acquisition or bankruptcy.

M. General Terms

All legal issues arising from or related to the use of this Site shall be construed in accordance with the laws of China. These Terms constitute the entire agreement between you and Speechocean with respect to the use of this Site. Speechocean's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision or of any other rights or provisions in these Terms. If a court should find that one or more rights or provisions set forth in these Terms are invalid, you agree that the remainder of the Terms shall be enforceable and that the invalid provision shall be enforceable to the fullest extent permitted by law.
